The Salt Springs Civic Association is offering a the revised Association By-Laws for review by the Community. These By-Laws will be a topic for discussion at the November 15th Association Meeting. Anyone wishing to make comments, suggestions and/or provide input regarding these By-Laws is encouraged to attend the Meeting. Thank you.

SALT SPRINGS CIVIC ASSOCIATION, INC. BY-LAWS
ARTICLE I SECTION I Name This organization shall be known as the "Salt Springs Civic Association, Inc.", a chartered not-for-profit corporation registered in the State of Florida.
ARTICLE II SECTION I Purpose The Purpose of this Association is: a.) To promote the welfare and betterment of the community of Salt Springs. b.) To assist local residents in need. c.) To maintain the Community Center and Park located on Hwy 316. d.) To promote various fund raising activities and community events.
ARTICLE III SECTION I Fairness No set of By-laws can cover all circumstances. In the event of an issue arising which is not covered by these By-laws, the issue will be decided upon on the basis of fairness as voted on by the Association membership.
ARTICLE IV SECTION I Membership Membership of this Association shall be comprised of interested individuals, businesses, or organizations, without discrimination, that obtain an application and pay the annual membership dues of $12.00. The membership year for the Salt Springs Civic Association begins January 1st and ends December 31st of the same year.
SECTION II Voting a.) Members must be 18 years of age or older in order to vote. Members younger than 18 years of age shall be accorded all other benefits of membership, but are not eligible to vote, run for or hold an office of the Board. b.) In order to vote, nominate, be nominated, or be elected to office, members are required to have been a member in good standing (good standing refers to the payment of annual membership dues) for a minimum of sixty (60) days. Membership dues are considered to have been paid when the Treasurer, a Board member, or a duly-appointed representative of the Board has received them. c.) Nomination of the Board of Directors/Officers shall take place at the October Meeting. Election of the Board of Directors/Officers shall take place at the November Meeting, with consent being obtained from the nominees prior to the meeting/election. Voting will be by majority approval. d.) The presence of six (6) members shall constitute a quorum for the transaction of business. e.) Proxy voting will not be permitted.
ARTICLE V SECTION I Meetings Regular Meetings of this Association shall be held on the third Monday of each month at the Salt Springs Community Center, starting at 7:00pm, unless otherwise announced by the President, a Board Member or duly-appointed representative of the Board. a.) Special meetings may be held at the call of the President, or a majority of the Board of Directors. b.) The order of business at the regular meetings will be outlined in an agenda distributed at the beginning of each meeting.
ARTICLE VI SECTION I Board of Directors/Officers a.) The Board of Directors/Officers of this Association shall be President, Vice-President, Secretary, Treasurer, and Chaplain. b.) Elected Board of Directors/Officers shall be installed at the December Meeting and shall preside at the January Meeting, serving a term of one (1) year. c.) A Director/Officer shall serve no more than two (2) years/terms in succession in the same office. d.) No two offices shall be held by any two (2) members of one (1) family. e.) Any Director/Officer who misses three (3) consecutive meetings or four (4) out of five (5) meetings, shall be considered to have vacated his/her Office. Replacement will be by nomination and vote from the floor at the next meeting after official notification from the President.
SECTION II Duties of the Directors/Officers The PRESIDENT shall: a.) Be the principle elective Director/Officer of the Association b.) Preside at all Meetings of the Association and the Board of Directors. c.) Call the meeting to order at the appointed time. d.) Instill and maintain a continuing interest in the purpose of this Association. e.) Appoint Committees, as appropriate. f.) Be a member of, or appoint a representative of/for, all Committees. g.) Inform the Association of any/all proposals and/or information which could increase the usefulness of this organization. h.) Perform all other duties as are necessarily incident to the office of the President. i.) Promote the purpose of this Association within the Community.
The VICE PRESIDENT shall: a.) Assist the President in carrying out the duties of the Presidents' office. b.) Preside at all Meetings of the Association, and/or of the Board of Directors, in the absence of the President. c.) Perform all other duties usually associated with the Office of President. d.) Perform specialized duties as assigned by the President. e.) Promote the purpose of this Association within the Community.
The SECRETARY shall: a.) Record and preserve the minutes of all Meetings. (Taped meetings shall always be backed-up by handwritten/typed notes.) b.) Prepare and maintain Meeting attendance records, membership records, and any/all Association correspondence. c.) Maintain file(s) of records of the Association for safekeeping. d.) Perform other duties as may be assigned by the President. e.) Promote the purpose of this Association within the Community.
The TREASURER shall: a.) Be responsible for receipt, safekeeping, and disbursement of all Association funds. b.) Be accountable for deposits made to any/all Association accounts. c.) Disperse funds for approved Association purposes, with co-signature of two (2) members of the Board. d.) Prepare and maintain a current record of any/all account(s) status. e.) Prepare and present a current report of funds at/for all regular Meetings. f.) Have records available for inspection and verification by the Board of Directors, upon request. g.) Promote the purpose of this Association within the Community. NOTE: The Treasurer need not be bonded.
The CHAPLAIN shall: a) Give the invocation at all Meetings and special events, and/or upon the request of the President. b) Promote the purpose of this Association within the Community.
SECTION III The Board of Directors/Officers shall determine policy, have discretion in the disbursement of funds, and, in general, assume responsibility for the guidance of the affairs of the Association.
ARTICLE VII SECTION I Committees The President shall appoint committees according to needs brought forth at meetings. The president shall work closely and counsel all committees. Any member in Good standing can serve on a committee, providing they have been a member more than 60 days.
ARTICLE VIII SECTION 1 Amendments These By-laws may be amended only as approved by the Board of Directors/Officers and subsequently passed by vote from the floor at an Association Meeting. Information on any/all proposed amendment(s) shall be provided to the general membership for review prior to the vote.
ARTICLE IX SECTION 1 Acceptance By majority vote from the floor at the regular Association Meeting on this, the _____ day of __________________, 20__, it has been agreed upon by the general membership to accept these By-Laws for this, the Salt Springs Civic Association, Inc.
